Essential Steps for SECP Company Formation and Incorporation

The process of registering a business in Pakistan is governed by the Securities and Exchange Commission of Pakistan (SECP) under the Companies Act, 2017. Transitioning almost entirely to a digital platform via the LEAP eZfile portal, incorporation has become highly streamlined, allowing founders to legally establish a business entity within 2 to 10 working days.

🏛️ Step 1: Select Your Corporate Structure

Before beginning any portal documentation, you must finalize the structural framework of your business:

  • Single Member Company (SMC-Pvt Ltd): Designed for a single individual who acts as the sole director and shareholder.
  • Private Limited Company (Pvt Ltd): The most popular corporate form; requires at least two directors/shareholders (up to a maximum of 50).
  • Public Limited Company: Designed for large-scale operations; requires at least three members to initiate and allows raising capital from the public.
  • Limited Liability Partnership (LLP): A structure combining the operational flexibility of a partnership with the benefit of corporate limited liability.

💻 Step 2: Establish SECP eZfile Accounts

Every proposed director, subscriber, and authorized representative must create an individual, verified profile on the SECP platform.

  • Registration: Sign up on the portal by entering your full name, nationality, and Computerized National Identity Card (CNIC) or NICOP number.
  • Verification: The portal relies on immediate dual-factor authentication, issuing unique verification pins via your registered email address and a mobile number registered in your own name.
  • User Fee: A nominal PKR 100 system entry fee applies when initiating your first corporate process.

🔎 Step 3: Apply for Company Name Reservation

Your proposed business name must be entirely unique, must fit your core sector, and cannot include prohibited words.

  • Submission: Submit your application directly via the portal's "Reserve Company Name" menu. You may submit up to three unique name choices ranked by preference.
  • Principal Line of Business: You must explicitly select your core sector from a standardized drop-down menu; your company name must align logically with this industry.
  • Fees & Validity: Online name reservation costs PKR 200 (compared to PKR 500 for physical filings). Once approved, the name is held for 60 days while you finalize your incorporation.

🗒 Step 4: Formulate and File Incorporation Documents

Once your name is secured, you must complete the primary application forms and attach the company's legal blueprints:

  • Memorandum of Association (MoA): Outlines the fundamental purpose, objectives, principal line of business, and authorized capital of the enterprise.
  • Articles of Association (AoA): Sets the internal rules, regulations, bylaws, and operational guidelines for directors and management.
  • Incorporation Form (Form 2): Captures physical address details of the registered office, specific subscriber share allocations, and active board appointments.
  • Identity Proof: Scanned, valid copies of CNICs/Passports for all subscribing members, proposed directors, and active witnesses.

🌟 Step 5: Technical Review & Issuance

Following payment submission, SECP registry officers review your documents for legal compliance under the Companies Act 2017.

  • If errors or anomalies are found, a technical query will be opened in your eZfile portal for correction.
  • If all documentation is correct, SECP issues your official Certificate of Incorporation electronically, accompanied by a digital signature credential.

🗓 Step 6: Immediate Post-Incorporation Mandates

Obtaining your incorporation certificate allows you to begin operations, but it also triggers a set of urgent, time-sensitive legal requirements:

  • FBR NTN Acquisition: Apply immediately via the Federal Board of Revenue (FBR Iris Portal) to obtain your corporate National Tax Number.
  • Corporate Bank Account: Present your Certificate of Incorporation, MoA, AoA, FBR NTN, and an official Board Resolution to a commercial bank to open your business account.
  • Beneficial Ownership Filing: File your Form GIS outlining the Ultimate Beneficial Owners (UBO) to SECP within 30 days of your incorporation to prevent standard regulatory penalties.
  • First Board Meeting: Convene your company's inaugural board of directors meeting within 30 days of the official incorporation date.
